In order to achieve the company's sustainable development goals and strengthen sustainable governance, the company established a Sustainable Development Committee on May 12, 2025. The committee is composed of independent directors and senior management of the company. The Sustainable Development Committee shall consist of three members, appointed by the Board of Directors, with at least half of them being independent directors. The powers of the Sustainable Development Committee are as follows:
The Board of Directors is the highest guiding body for the Company’s sustainable development. The Board of Directors hears reports from the convener of the Sustainable Development Committee on the operation of each meeting (at least once per quarter). The Sustainable Development Planning Team drafts the work plan for the following year at the end of each year and submits it to the Sustainable Development Committee for approval. The team reports to the Sustainable Development Committee in the first quarter of each year to review the implementation of the previous year. The convener of the Sustainable Development Committee then reports to the Board of Directors. The Board of Directors assesses and reviews the progress of implementation and urges adjustments when necessary.
The Sustainable Development Committee is organized in accordance with organizational procedures and is responsible for promoting and implementing the company's sustainable development strategy and objectives. It has a Sustainable Development Chairperson, who is Assistant to the General Manager, Teng Yu Wen, and is responsible for handling matters related to the Sustainable Development Committee's meetings and implementing tasks assigned by the committee. The Sustainable Development Committee should meet at least once a year and may convene as needed.
